Here are some of the questions we hear most often from international founders about forming and operating a U.S. LLC.
Can a non-U.S. resident form a U.S. LLC?
Yes. Non-U.S. residents can generally form a U.S. LLC. You do not need to live in the United States simply to create an LLC, although the formation, EIN, banking and tax requirements depend on your circumstances.
Do I need a U.S. SSN to form an LLC?
A U.S. Social Security Number is not generally required simply to form an LLC. Non-U.S. founders may, however, face additional requirements when applying for an EIN or opening a U.S. bank account.
Can I form a U.S. LLC while living abroad?
Yes. Many international founders form U.S. companies while living outside the United States. The process can generally be completed remotely, subject to the requirements of the state and service providers involved.
Can I open a U.S. business bank account without visiting the United States?
Some U.S. financial institutions accept applications from eligible non-U.S. founders remotely, but approval is never guaranteed simply because you formed an LLC. Banks make their own decisions based on identity, business activity, ownership, documentation and risk requirements.
Does a U.S. LLC owned by a foreign person have U.S. taxes?
Possibly. U.S. tax obligations depend on the business activity, income, ownership, tax classification, source of income and other facts. Formation of an LLC does not by itself determine whether U.S. income tax is owed.
Does a foreign-owned U.S. LLC have to file Form 5472?
It can. The answer depends on the LLC's federal tax classification, ownership and transactions. Certain foreign-owned U.S. disregarded entities have Form 5472 reporting obligations and may need to attach the form to a pro forma Form 1120.
